Role Overview

The General Counsel will oversee all legal and regulatory matters, providing strategic guidance on corporate governance, compliance, risk management, and contract negotiations. The ideal candidate must have extensive experience handling crypto-related legal matters at a well-known law firm or company and be comfortable operating in a fast-moving, high-growth environment.

Key Responsibilities

Regulatory & Compliance Strategy

• Oversee U.S. and international crypto regulations, ensuring compliance with SEC, CFTC, FinCEN, OFAC, and other applicable laws.
• Develop and implement strategies for crypto, fintech, and financial services compliance.
• Stay ahead of regulatory developments and advise leadership on potential legal risks and opportunities.

Corporate Governance & Risk Management

• Advise executive leadership on legal and regulatory risks.
• Lead corporate governance initiatives, ensuring best practices in decision-making and company policies.
• Establish and maintain strong relationships with regulatory bodies, external counsel, and industry associations.

Commercial & Contract Negotiations

• Draft, review, and negotiate commercial contracts, partnerships, and vendor agreements.
• Oversee licensing agreements, SaaS contracts, and financial service provider relationships.

Litigation & Dispute Resolution

• Manage potential litigation, working with outside counsel as needed.
• Proactively mitigate legal risks and respond to regulatory inquiries or investigations.

Requirements

Impressive background in crypto/blockchain law at a well-known firm or company.

Ability to provide legal guidance in a fast-paced, high-growth environment.

Experience working at a fast moving impressive crypto company or FAANG level company or scale-up.

Based in NYC or able to come to NYC when needed
